Terms & Conditions

These Terms and Conditions govern the use of Cerdik Labs' website and the services we offer — including AI consulting, executive training, and intelligent systems implementation. By engaging with us or using our website, you agree to these terms.

We have written these terms to be as clear and straightforward as possible. If anything is unclear, you are welcome to reach out before proceeding with any engagement.

1. Definitions

Throughout these Terms, the following words carry the meanings set out here:

  • "We / Us / Our / Cerdik Labs" refers to Cerdik Labs, registered in Malaysia, with our principal place of business at 88 Persiaran Gurney, 10250 George Town, Penang.
  • "You / Client" refers to the individual or organisation using our website or engaging our services.
  • "Services" refers to any consulting, training, technical design, or implementation work offered by Cerdik Labs, including but not limited to those described on our website.
  • "Agreement" refers to these Terms and Conditions, together with any service proposal, Statement of Work, or other written agreement between us.
  • "Deliverables" refers to any outputs, documents, frameworks, systems designs, or materials produced during engagement.

2. Acceptance of Terms

By using our website, submitting an enquiry, or entering into a service engagement with Cerdik Labs, you confirm that:

  • You are at least 18 years of age and have the legal capacity to enter into a binding agreement.
  • If acting on behalf of an organisation, you have the authority to bind that organisation to these terms.
  • You have read and understood these Terms and Conditions.

3. Service Description

Cerdik Labs provides AI business integration services to organisations operating in Malaysia and regionally. Our current service offerings include:

  • Personalisation Engine Architecture (RM 930): Consulting and technical design for AI-driven personalisation systems across digital channels.
  • AI Fundamentals for Executives (RM 2,350): A leadership-focused training program on AI strategy, governance, and investment considerations.
  • Intelligent Feedback Analysis System (RM 3,660): Implementation of AI systems for multi-channel feedback aggregation, analysis, and executive reporting.

Specific scope, deliverables, and timelines are agreed in writing prior to commencement of each engagement. We reserve the right to decline any engagement at our discretion.

4. User Responsibilities

When engaging with Cerdik Labs, you agree to:

  • Provide accurate, complete, and current information about your organisation, objectives, and data environment where relevant.
  • Not use our website or services for unlawful, harmful, or misleading purposes.
  • Not attempt to reverse-engineer, copy, or replicate proprietary methodologies beyond the scope of your engagement.
  • Ensure that any data you share with us for analysis or system design purposes is handled in compliance with applicable Malaysian data protection law (PDPA 2010).
  • Nominate an appropriate internal contact who can collaborate effectively during engagements requiring client input.

5. Intellectual Property

All website content — including text, design, graphics, and code — is the property of Cerdik Labs and is protected under Malaysian intellectual property law. You may not reproduce, distribute, or adapt any part of it without our prior written consent.

With respect to service engagements:

  • Deliverables produced specifically for your organisation under a paid engagement become your property upon receipt of full payment.
  • Underlying methodologies, frameworks, and reusable components developed by Cerdik Labs remain our intellectual property.
  • Any pre-existing tools, templates, or systems we employ during your engagement remain the property of Cerdik Labs.

6. Payment Terms

Unless otherwise agreed in writing:

  • All prices are quoted in Malaysian Ringgit (RM) and are subject to applicable Malaysian taxes including SST where relevant.
  • A deposit of 50% is required before commencement of any engagement. The balance is due upon completion or as specified in the service proposal.
  • Payment may be made by bank transfer or such other methods as agreed in writing.
  • Invoices not settled within 30 days of issue may attract a late fee of 1.5% per month on outstanding balances.

Refund Policy: Deposits are non-refundable once work has commenced. If Cerdik Labs is unable to fulfil an engagement through no fault of the client, a proportional refund will be considered. Requests must be made in writing within 14 days of the relevant event.

7. Service-Specific Terms

Consulting Engagements

  • Scope is defined in a written Statement of Work (SOW) agreed before commencement.
  • Changes to scope require written agreement and may affect timeline and cost.
  • We will make reasonable efforts to meet agreed timelines, but are not responsible for delays caused by client unavailability or incomplete information.

Training Programs

  • Training programs are delivered in formats agreed at time of booking (in-person, virtual, or hybrid).
  • Cancellations made within 5 business days of a scheduled session may incur a rescheduling fee.
  • Materials provided during training are for the exclusive use of the attending organisation.

System Implementation

  • Client is responsible for providing appropriate data access, system credentials, and technical cooperation throughout implementation.
  • Post-implementation support, if required, is subject to a separate agreement.

8. Confidentiality

Both parties acknowledge that confidential information may be exchanged during an engagement. Each party agrees to:

  • Keep confidential information secure and not disclose it to third parties without prior written consent.
  • Use confidential information only for the purposes of the engagement.
  • Maintain confidentiality obligations for a period of 3 years following completion of the engagement.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimers

Our website and services are provided on an "as is" basis. To the extent permitted by Malaysian law:

  • We make no representation that our services will meet every specific business objective or produce particular commercial results.
  • AI systems and outputs are inherently probabilistic. We do not warrant that any AI-based system or analysis will be error-free or perfectly accurate.
  • Information published on our website is for general informational purposes and does not constitute professional advice in any specific context.

10. Limitation of Liability

To the maximum extent permitted under Malaysian law, Cerdik Labs shall not be liable for:

  • Indirect, incidental, or consequential losses arising from use of our services or website.
  • Loss of data, revenue, business opportunity, or goodwill.
  • Outcomes arising from decisions made based on AI-generated analysis or recommendations.

Our total liability for any claim arising from a specific engagement shall not exceed the fees paid by the client for that engagement.

11. Indemnification

You agree to indemnify and hold harmless Cerdik Labs, its team members, and affiliates against any claims, damages, or costs (including legal fees) arising from your misuse of our services, breach of these terms, or violation of applicable law — including any claims arising from data you provide to us that was handled in breach of applicable privacy or data protection obligations.

12. Termination

Either party may terminate an engagement by providing written notice if:

  • The other party materially breaches these terms and fails to remedy the breach within 14 days of written notice.
  • The other party becomes insolvent, enters voluntary administration, or ceases to trade.

Upon termination, fees for work completed to date remain payable. Confidentiality obligations survive termination.

13. Dispute Resolution

In the event of a dispute, both parties agree to first seek resolution through good-faith discussion. If resolution cannot be reached within 30 days, disputes shall be referred to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia.

These Terms are governed by the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction over any disputes not resolved through mediation.

14. General Provisions

  • Entire Agreement: These Terms, together with any written service proposal or SOW, constitute the entire agreement between us and supersede prior discussions.
  • Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
  • Notices: Formal notices must be sent in writing to the contact details listed below.

15. Changes to These Terms

We may update these Terms from time to time. Updated terms will be published on this page with a revised effective date. For ongoing engagements, material changes will be communicated in writing. Continued use of our website or services following publication of updated terms constitutes acceptance.
